Terms of Service

Welcome to MentionTracking! These Terms of Service ("Terms") govern your use of the MentionTracking software and services (the "Service") provided by Cosmo Marketing LTD ("we," "us," or "our"), a company registered in England and Wales. Our registered office address is 182-184 High Street North, East Ham, London, United Kingdom, E6 2JA.

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. We refer to you as "you" or the "User." If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization.

We will provide you with access to our brand monitoring software via the internet on a subscription basis, as detailed on our Pricing page and in these Terms.

We strive to ensure the Service is available and reliable. We target an annual average availability of 98%. This does not include planned maintenance or disruptions beyond our control (e.g., major internet outages, force majeure events). We will provide at least 48 hours' notice for planned maintenance when possible. However, we reserve the right to perform emergency maintenance without notice if required for security or operational integrity.

We are constantly improving the Service. We may update, add, or remove features at our discretion. If we make a significant change to the core functionality you pay for, we will notify you via email at least four (4) weeks in advance.

We may suspend your access to the Service if:

• a) We suspect your account credentials have been compromised or are being used by unauthorized persons.
• b) Your payment is more than 30 days overdue.
• c) We are required to do so by law or court order.
• d) You are in material breach of these Terms.

Your subscription begins when we activate your account and continues on a month-to-month or year-to-year basis unless terminated.

You may cancel your subscription at any time through your account's Billing section. The cancellation will take effect at the end of your current billing period. Subscription fees are non-refundable for partial months or years.

We may terminate your subscription with at least 30 days' notice. We may also terminate your access immediately if you commit a material breach of these Terms.

You are responsible for determining if the Service meets your needs.

You must keep your account credentials (like your password) confidential and secure.

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

You own and are responsible for all data and content you provide to the Service (such as your keywords).

We own all rights, title, and interest in and to the Service, including the software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service according to your subscription plan.

You agree to pay the subscription fees as set out on our Pricing page. All fees are exclusive of applicable taxes (like VAT or sales tax), which will be added to your invoice where required.

Subscription fees are billed in advance. Invoices are sent to your registered email address.

The Service is provided on an "as-is" and "as-available" basis. We make no warranties of any kind, whether express or implied, including that the service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, our total liability to you for any damages arising from your use of the Service will not exceed the amount you have paid to us in the three (3) months immediately preceding the event that gave rise to the claim. We will not be liable for any indirect damages, such as loss of profit or data.

Your privacy is important to us. Please review our Privacy Policy at https://www.mentiontracking.com/privacy-policy for information on how we collect, use, and protect your data. Our Privacy Policy is incorporated into these Terms.

You agree that we may use your company's name and logo on our website and in our marketing materials (for example, in a "Trusted by" section). You can opt out of this by sending a written request to [email protected].

You agree not to use the Service to:

• a) Engage in any illegal or fraudulent activities.
• b) Infringe on the intellectual property or privacy rights of others.
• c) Resell, sublicense, or distribute the Service without our prior written consent.
• d) Send spam or harass, abuse, or harm any person.
• e) Reverse-engineer or attempt to access the source code of our software.
• f) Knowingly send viruses or other harmful code.

We reserve the right to modify these Terms at any time. We will notify you of any significant changes via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

These Terms shall be governed by the laws of United Kingdom, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in United Kingdom.
